enforce orders of the Hongkong Courts. This would have to be
done by Order in Council.
(111). Finally, and this is the crux of the 526
ton, what is to be done with foreigners who are promoters. eholders or directors. Bither they must be excluded al- -togoyher, or they must be included without restriction. This can only be done by dealing directly with the question of jurisdiction. The jurisdiction can only be exercised over them by consent, and this consent should be contained by a submi§** -sion to the jurisdiction of both Courts Hongkong and Shan- -ghai - to be signed in the articles, or in the register of shares. As the law stenda under the Order in Council of 1904 the consent of the foreign Government to which they are subject
would also have to be provided for.
(17).
The law thus established, full notice of ** being given in the articles, would probably be sufficient to bind the creditors, British or foreign, of the Company.
There may be other details to be considered, but these seem to me to be the broad heads of the principles
involved.
(sd.) 7. T. Piggott,
Chief Justice.
